These Terms & Conditions (“Terms”) govern your access to and use of the websites, applications, software, tools, and related services provided by Topular (“Topular,” “we,” “us,” or “our”), including Topular.com and the Topular web application (collectively, the “Service”).
By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. About Topular
Topular provides software tools designed to help real estate professionals organize, analyze, document, and share information relating to real estate opportunities.
Features may include property-data enrichment, automated or AI-assisted analysis, valuation information, comparable-property information, Opportunity management, Deal Rooms, document and photo storage, public or private sharing tools, engagement information, and other workflow features.
Topular is a software and information platform. Topular is not a real estate brokerage, real estate broker, real estate agent, appraiser, attorney, title company, lender, escrow provider, or other licensed real estate professional unless expressly stated otherwise in writing.
Topular does not represent buyers, sellers, property owners, investors, wholesalers, agents, brokers, or other parties in real estate transactions. Topular does not negotiate transactions on behalf of users, procure buyers or sellers, or provide brokerage services through the Service.
2. Eligibility and Professional Use
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service.
The Service is intended primarily for real estate professionals and other business users evaluating or managing real estate opportunities.
You are responsible for ensuring that your use of the Service complies with all laws, regulations, licensing requirements, advertising requirements, contractual obligations, and professional rules applicable to you and your activities.
Creating a Topular account does not authorize you to engage in activities that otherwise require a professional or real estate license.
3. Accounts
You must provide accurate and current information when creating and maintaining your account.
You are responsible for maintaining the confidentiality of your login credentials and for activities conducted through your account. You must notify Topular promptly if you believe your account has been compromised or accessed without authorization.
We may suspend or terminate accounts that violate these Terms, create security or legal risks, misuse the Service, or engage in fraudulent or abusive activity.
4. Property Information and User Content
You may submit information to the Service, including property addresses, pricing information, acquisition information, repair estimates, valuation assumptions, notes, photographs, documents, and other materials (“User Content”).
You retain ownership of your User Content.
You grant Topular a limited, non-exclusive license to host, store, process, reproduce, transmit, format, and display User Content as reasonably necessary to provide, secure, maintain, and improve the Service.
You represent that you have the rights and permissions necessary to upload, process, and share User Content through Topular.
You must not upload content that is unlawful, fraudulent, misleading, infringing, malicious, or that you are not authorized to possess or distribute.
5. Property Data and Third-Party Information
Topular may obtain property information, valuation information, comparable-property information, market information, and other data from third-party providers and public or commercial data sources.
Third-party information may be incomplete, delayed, inaccurate, unavailable, or inconsistent with other sources.
Topular does not independently guarantee the accuracy, completeness, ownership, legal status, condition, marketability, or current value of any property or third-party information displayed through the Service.
Users should independently verify information material to a real estate decision.
6. AI-Assisted Analysis
Topular may use artificial intelligence and automated systems to analyze information and generate observations, summaries, classifications, estimates, risk indicators, valuation context, or other outputs (“AI Output”).
AI Output may contain errors, omissions, or inaccurate assumptions. It is provided for informational and workflow purposes and should not be treated as independently verified fact.
AI Output is not an appraisal, broker price opinion, legal opinion, inspection, title report, investment recommendation, lending decision, or offer to purchase or sell real estate.
You are responsible for reviewing AI Output and independently verifying information before relying on it for business, investment, acquisition, disposition, marketing, contractual, or other decisions.
7. Valuations and Comparable Properties
Property valuations, estimated values, value ranges, comparable properties, market data, and related information displayed through Topular are informational estimates derived from available information and third-party sources.
They are not appraisals and are not guarantees of a property’s market value, resale value, purchase price, sale price, or future performance.
Property condition, renovations, title matters, occupancy, market conditions, location-specific characteristics, and other factors may materially affect actual value.
8. Deal Rooms and Sharing
Topular may allow users to organize information into Deal Rooms and generate links that can be shared with third parties.
You control whether you choose to share a Deal Room and with whom you share its link.
Information intentionally included in a publicly accessible or shareable Deal Room may be viewed by anyone who obtains the applicable link, subject to the functionality and access controls provided by Topular.
You are responsible for reviewing a Deal Room before sharing it and ensuring that you have authority to disclose its contents.
Do not include confidential, privileged, personally sensitive, or legally restricted information in a publicly shared Deal Room unless you have the appropriate authority and intend for that information to be accessible through the link.
Topular may provide analytics concerning interactions with shared Deal Rooms, such as views or other engagement activity.
A Deal Room is an information-sharing and workflow tool. Topular’s provision of Deal Room functionality does not make Topular a participant, intermediary, broker, agent, or representative in any transaction that users or third parties may independently pursue.
9. Independent Transactions
Users may use information obtained through Topular in connection with their independent real estate activities.
Any communication, negotiation, agreement, contract, assignment, purchase, sale, financing arrangement, or other transaction between users and third parties occurs independently of Topular.
Topular is not a party to such transactions and does not guarantee that any transaction will occur or that any party will perform its obligations.
Users are responsible for obtaining appropriate legal, tax, financial, real estate, inspection, title, and other professional advice when necessary.
10. Subscriptions and Billing
Certain features may require a paid subscription.
Prices, plan features, billing intervals, trial periods, and applicable limitations will be disclosed when you subscribe.
Unless otherwise stated at checkout, subscriptions automatically renew at the applicable billing interval until canceled.
You authorize Topular and its payment processor to charge applicable subscription fees and taxes using your selected payment method.
You may cancel your subscription through the available account or billing controls. Cancellation generally prevents future renewals but does not retroactively refund amounts already charged unless required by law or expressly stated otherwise.
Topular may change subscription pricing or plan features prospectively. Where required, we will provide notice before a pricing change applies to an existing subscription.
11. Trials and Promotional Access
Topular may offer free trials, promotional access, credits, discounts, or other limited offers.
Eligibility and duration may vary. We may modify or discontinue promotional offers subject to applicable law.
Unless expressly stated otherwise, a trial does not guarantee continued free access after the trial period ends.

Information available through Topular is provided for informational and workflow purposes.
Nothing provided through the Service constitutes legal, tax, accounting, financial, investment, brokerage, appraisal, inspection, title, or other licensed professional advice.
You should consult qualified professionals regarding matters requiring professional judgment or licensure.
14. Intellectual Property
Topular and its licensors own the Service and its software, branding, designs, interfaces, trademarks, documentation, and other proprietary materials, excluding User Content and third-party materials.
These Terms provide you with a limited, revocable, non-exclusive, non-transferable right to use the Service in accordance with these Terms. They do not transfer ownership of Topular’s intellectual property to you.
15. Feedback
If you provide suggestions, ideas, or other feedback concerning Topular, you grant us permission to use that feedback to develop and improve the Service without compensation or obligation to you.
16. Third-Party Services
Topular relies on third-party providers for certain functionality, which may include hosting, infrastructure, property information, artificial intelligence, communications, storage, authentication, analytics, and payment processing.
Availability of third-party services may affect Topular’s functionality.
Your use of third-party services may also be subject to those providers’ terms and policies where applicable.
17. Service Availability and Changes
We may add, remove, modify, suspend, or discontinue features of Topular.
We do not guarantee uninterrupted or error-free operation. Maintenance, third-party outages, technical problems, security events, or other circumstances may temporarily affect availability.
18. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOPULAR AND THE SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TOPULAR DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.
TOPULAR DOES NOT WARRANT THAT PROPERTY INFORMATION, AI OUTPUT, VALUATIONS, COMPARABLES, ANALYSES, OR OTHER INFORMATION WILL BE ACCURATE, COMPLETE, CURRENT, OR SUITABLE FOR ANY PARTICULAR TRANSACTION OR DECISION.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOPULAR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST OPPORTUNITIES, OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOPULAR’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO TOPULAR DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.
Some jurisdictions do not permit certain limitations of liability, so portions of this section may not apply to you.
20. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Topular and its officers, directors, employees, contractors, and affiliates from claims, damages, liabilities, losses, and expenses arising from your User Content, your use of the Service, your independent real estate activities, your violation of these Terms, or your violation of another person’s rights.
21. Termination
You may stop using Topular at any time.
We may suspend or terminate access where reasonably necessary because of a violation of these Terms, suspected fraud or abuse, security concerns, legal requirements, nonpayment, or risks to Topular, our users, or third parties.
Following termination, provisions that by their nature should survive termination will remain effective.
22. Governing Law
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Any dispute that is not subject to another legally enforceable dispute-resolution agreement shall be brought in a court of competent jurisdiction in Georgia, unless applicable law requires another venue.
23. Changes to These Terms
We may update these Terms as the Service evolves or as legal, regulatory, or operational requirements change.
We will post the updated Terms with a revised “Last Updated” date. Where required by law, we will provide additional notice.
Your continued use of the Service after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
